Standard Terms And Conditions
These are the standard terms and conditions for Website Design and Development and apply to all contracts and work undertaken by Zonic Digital Inc. for its clients.
Our Fees And Deposits
A 50% advance of the total fee payable as per the proposal, needs to be paid immediately upon you wanting us to start the website design and development work
The other 50% shall be paid when the work is complete, accordance to work asked for. This would be before we make the project live on the final domain. In case the balance 50% is not paid, the project will not be made live on the domain.
The 50% advance payment is not refundable if the development work has been started and you terminate the contract through no fault of ours.
Supply Of Materials
You must supply all content material and information required by us to complete the work in accordance with any agreed specification.
This includes photographs, images, written consent soft-copy, logos and other content.
Delay in supply of these materials will leads to a delay in the completion of project work, giving us the right to extend any previously agreed deadlines by a reasonable amount.
If you fail to supply materials, preventing the progress of the work, we have the right to claim payments for any part of the work already completed.
Variations
We are pleased to prfefer you the option to make revisions to the design. Though, charges may apply for additional designs if you need to make changes to the original design specification.
Our website development structure is flexible and certain variations to the original specification are allowed.
Project Delays And Client Liability
Any time frames or estimates that we give are contingent upon your full co-operation and complete and final content in photography for the work pages.
A single point of contact should be appointed from your side, on a daily basis to expedite the feedback process.
Approval Of Work
On completion of final draft of the work, we will give you 7 days to review it. You must give us in writing of any unsatisfactory work within 7 days of completion. Any work which has not been reported in writing to us as unsatisfactory those 7-day review period, will be considered approved, post which the client will be liable to pay the balance 50% of the payment.
Also, once approved, the work cannot be rejected and the contract will be deemed as completed and the 50% balance of the project price needs to be paid.
The project will be made live on the domain, only after the final balance payment is received by us.
Payment
Once the 7-day review period is over, you are liable for the payment of 50% balance of the project.
Orange & Red Flags
At any given point in project lifetime, in spite of our repeated calls and reminders over email, if any response or any other desired data or content or any other requirement is not received for a period of 15 calendar days, the project will be marked Orange flag – which means no further reminders will be given.
After Orange Flag Initiation, if the desired data, content or response is not received for next 15 calendar days, the project will be marked as Red flag. This means that no further work will be done on the project and if client requires to continue the project further, the client will have to purchase the plan again and make payment as per the payment conditions at that point of time. And in any circumstances, the advance amount paid for the red flagged project will not be refunded.
Warranty By You As To Ownership Of Intellectual Property Rights
You need to obtain all the necessary permissions and authorities in respect of the use of all copy, graphic images, registered company logos, names and trademarks, or any other material that you supply to us to include in your website or web applications.
Licensing
Once you have paid in full for our work we grant to you a access and license to use the website and contents for the life of the website.
Search Engines
We do not guarantee any specific ranking in search engine results for your website.
Consequential Loss
We aren’t liable for any loss or damage which you may suffer which is in any way attributable to any delay in performance or completion of our contract, that delay arises.
Subcontracting
We reserve all right to subcontracting any services that we have agreed to perform for you.
Additional Expenses
You agree to pay for any requested expenses which do not form part of our proposal including but not limited to the purchase of templates, third party software, stock photographs, fonts, domain name registration, web hosting or comparable expenses.
Ownership Of Domain Names And Web Hosting
We will supply account credentials for domain name registration and/or web hosting that we purchased on your behalf when you reimburse fort he expenses that we have incurred.
E-Commerce
You are responsible for complying with all laws that are related to e-commerce, and to the full extent permitted by law will hold harmless, protect, and defend and indemnify Zonic Digital Inc. and its subcontractors from any claim, penalty, tax, tariff loss or damage arising from your or your clients’ use of Internet electronic commerce.
